The purchase of Scandic, with its 133 Nordic region hotels and 21 hotels in non-Nordic European cities, is expected to enhance earnings in its first full year.

Hilton is offering 108 skr in cash and 1.1238 new Hilton shares for each Scandic share. Hilton is also offering 25 skr in cash for each Scandic warrant, valuing the Scandic warrants (excluding those held by a member of the Scandic Group) at 44.9 mln skr.

Hilton said trading in the first three months of the year has been strong in both its divisions with Hilton International profits up by 27 pct and Ladbrokes betting and gaming profits, adjusted for the sale of Casinos, up by 30 pct, compared to the corresponding period in 2000.

Trading in Scandic's markets during the first quarter continued the positive trend seen in previous years, and this will be reflected in Scandic's first quarter results to be announced on May 4, said Roland Nilsson, president and CEO of Scandic.

From the purchase of Scandic, Hilton said it anticipates 17 mln stg of annual pretax synergies achievable by 2003. These synergies will be obtained through 8 mln stg of cost savings and 9 mln from revenue enchancement initiatives.

Ratos AB and Kapiteeli-bolagen have unconditionally sold to Hilton 15,460,370 and 4,350,150 Scandic shares respectively, representing 25.1 pct and 7.1 pct respectively, for the same consideration per share now being offered to other Scandic shareholders.

Ratos AB and Kapiteeli-bolagen have agreed not to sell their resultant shareholdings in Hilton for a period of 12 months.
